Terms of Service

These Terms of Service (the "Terms") are an agreement between you and Syndflow Inc., 2711 Centerville Road, Suite 400, Wilmington, DE 19808, United States ("Syndflow", "we", "us"). They apply to your use of syndflow.com and the Syndflow app and services (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Syndflow provides AI teammates ("agents"). Each agent has its own virtual computer, can use the apps you connect, remembers context, can place phone calls if you enable that, and returns results in a chat. Agents are automated software powered by AI models. They can make mistakes, so review important results before relying on them.

2. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract. If you use the Service for an organization, you confirm you have authority to bind it.
• Give us accurate information and keep your sign-in details secure. You are responsible for activity under your account. Tell us promptly at hello@syndflow.com if you suspect unauthorized use.

3. Plans, credits and payment

• The Service offers a free plan and paid plans. Prices, credits, agent limits and computer hours are shown on our pricing page and may change for future periods.
• Credits pay for model usage, agent computer time and phone numbers. Monthly plan credits reset each month and do not carry over. Credits you buy as top-ups stay in your balance. When credits run out, agents may continue on a lighter model until the next reset, or you can top up.
• Paid plans are billed in advance each month (or each year if you choose annual billing) through Stripe, and renew automatically until cancelled. Taxes may apply.
• Cancellation: you can cancel any time in the app. Cancellation takes effect at the end of the current billing period, and you keep access until then. There is no lock-in.
• Refunds: fees are non-refundable except where the law requires, or where we say otherwise in writing.

4. Acceptable use

You agree not to use the Service, or let your agents be used, to:

• break the law or infringe the rights of others, including privacy and intellectual property rights;
• send spam, run robocall or mass-messaging campaigns, harass, threaten or defraud anyone, or impersonate a person or organization without permission;
• access accounts, systems or data without authorization, or try to bypass security, rate limits or usage limits;
• create or distribute malware, or carry out attacks, scraping that violates a site's terms, or other harmful activity;
• generate or share illegal, sexually explicit involving minors, or violent extremist content;
• resell or sublicense the Service without our written permission, or use it to build a competing product by copying our outputs at scale.

We may limit, suspend or remove content or accounts that we reasonably believe break these rules or put the Service or others at risk.

5. Your content and AI outputs

• You keep ownership of the content you provide ("Your Content") and, as between you and us, of the outputs your agents produce for you, subject to the rights of third parties in any material they include.
• You give us a limited license to host, process and transmit Your Content only to provide and secure the Service, as described in our Privacy Policy. We do not use Your Content to train AI models.
• You are responsible for Your Content and for what your agents do on your behalf, including emails sent, files changed, purchases made and calls placed. Outputs may be inaccurate or incomplete and are not professional, legal, medical or financial advice.

6. Connected apps and third-party services

When you connect an app, you authorize your agents to act in it with the permissions you grant. Use of those apps is governed by their own terms. You can revoke access at any time. We are not responsible for third-party services or for actions an app takes outside Syndflow.

7. Phone calls and recordings

If you use calling, you are responsible for following the laws that apply to calls and recordings, including obtaining any consent required to record a call and respecting do-not-call, telemarketing and anti-spam rules. Do not use calling for unlawful marketing, harassment or deception. Calls are recorded and transcribed so you can review them. We may restrict phone numbers or calling for suspected abuse.

8. Our property

The Service, including its software, design and branding, belongs to Syndflow and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service under these Terms. If you send us feedback, we may use it without obligation to you.

9. Availability and changes

We work to keep the Service available but do not promise it will be uninterrupted or error-free. We may change, add or remove features, and we may update these Terms. If a change is material we will tell you in the app or by email before it takes effect. Continuing to use the Service after that means you accept the updated Terms.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or end your access if you break these Terms, if required by law, or if your use puts the Service at risk. After termination, your right to use the Service ends and we will handle your data as described in the Privacy Policy. Sections that by their nature should survive (such as ownership, disclaimers, liability limits and governing law) will survive.

11. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that agents or AI outputs will be correct, complete or suitable for your purposes.

12. Limitation of liability

To the fullest extent the law allows, Syndflow and its officers, employees and suppliers will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100. Some places do not allow these limits, so they may not apply to you in full.

13. Indemnity

You will defend and indemnify Syndflow against claims, damages and costs (including reasonable legal fees) arising from Your Content, your agents' actions taken on your instructions, or your breach of these Terms or the law, except to the extent caused by us.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and you and we consent to that jurisdiction, except that either party may seek urgent relief in any court to protect intellectual property or confidential information. Before filing a claim, please contact us at hello@syndflow.com so we can try to resolve it informally.

15. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If a part is found unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale of the business.
